CONDITIONS<\/p><p>Background<\/p><p>These Standard Terms &amp; Conditions set out the terms on which You can purchase a membership subscription to The Club Membership Programme or to our free membership for couples (each a Membership).\u00a0 Please read these Standard Terms &amp; Conditions carefully and ensure that You understand them before signing up to the Membership.\u00a0 If You do not agree to be bound by these Standard Terms &amp; Conditions, You must not sign up to the Membership.<\/p><ol><li>\u00a0 Definitions and Interpretation\u00a0<\/li><\/ol><p>In these Standard Terms &amp; Conditions, unless the context otherwise requires, the following expressions have the following meanings:<\/p><table><tbody><tr><td><p>\u201cAccount\u201d<\/p><\/td><td><p>means an account created by Us through which You will be given access to the Membership Materials;\u00a0<\/p><\/td><\/tr><tr><td><p>\u201cAgreement\u201d<\/p><\/td><td><p>means the agreement between You and Us pursuant to which We shall provide a subscription to the Membership to You, on the terms set out in these Standard Terms &amp; Conditions;<\/p><\/td><\/tr><tr><td><p>\u201cCommencement Date\u201d<\/p><\/td><td><p>means the date of the Order Confirmation;<\/p><\/td><\/tr><tr><td><p>\u201cConfidential Information\u201d<\/p><\/td><td><p>means information which is confidential in nature or which is or may be commercially sensitive, and which is disclosed as a result of or in connection with Your participation in the Membership.\u00a0 Confidential Information may include (but is not limited to):<\/p><p>(1)\u00a0 \u00a0 information of a secret, sensitive or confidential nature which is disclosed by You to Us in the course of the Membership;\u00a0<\/p><p>(2) \u00a0 information of a secret, sensitive or confidential nature which is disclosed in the course of the Membership by another Member, whether to You individually or in the context of group discussions;\u00a0 and<\/p><p>(3)\u00a0 \u00a0 information of a secret, sensitive or confidential nature relating to Our business, dealings, affairs, practice, finances, trading, software or know-how, and includes any Membership Materials;<\/p><p>and in each case, whether that disclosure is made orally or in writing, and whether or not the information is expressly stated to be confidential or marked as such.<\/p><\/td><\/tr><tr><td><p>\u201cConsumer\u201d<\/p><\/td><td><p>means a \u201cconsumer\u201d as defined by the Consumer Rights Act 2015 who enters into a contract for purposes wholly or mainly outside the purposes of any business;<\/p><\/td><\/tr><tr><td><p>\u201cData Protection Legislation\u201d\u00a0<\/p><\/td><td><p>means all applicable data protection and privacy legislation in force from time to time in the UK including the UK GDPR; the Data Protection Act 2018 (DPA 2018) (and regulations made thereunder); the Privacy and Electronic Communications Regulations 2003 (SI 2003\/2426) as amended, the Data (Use of Access) Act 2025 and all other legislation and regulatory requirements in force from time to time which apply to a party relating to the use of personal data;<\/p><\/td><\/tr><tr><td><p>\u201cFees\u201d<\/p><\/td><td><p>means the fees payable by You for the Membership in accordance with Clause 6, if You are purchasing a subscription to The Club;<\/p><\/td><\/tr><tr><td><p>\u201cIntellectual Property Rights\u201d<\/p><\/td><td><p>means:<\/p><p>(a) any and all rights in any patents, trademarks, service marks, registered designs, applications (and rights to apply for any of those rights), trade, business and company names, internet domain names and email addresses, unregistered trademarks and service marks, copyrights, database rights, know-how, rights in designs and inventions;<\/p><p>(b) rights under licences, consents, orders, statutes or otherwise in relation to a right in paragraph (a);<\/p><p>(c) rights in or in relation to Our Confidential Information;<\/p><p>(d) rights of the same or similar effect or nature as or to those in paragraphs (a), (b) and (c) which now or in the future may subsist; and<\/p><p>(e) the right to sue for past infringements of any of the foregoing rights;<\/p><\/td><\/tr><tr><td><p>\u201cMember\u201d<\/p><\/td><td><p>means a member from time to time of a Membership programme provided by Us;<\/p><\/td><\/tr><tr><td><p>\u201cMembership\u201d<\/p><\/td><td><p>means either The Club membership programme, or the free membership programme provided by Us to couples, depending on the option You have selected, and which will be provided by Us to You under the terms set out in these Terms &amp; Conditions;<\/p><\/td><\/tr><tr><td><p>\u201cMembership Materials\u201d<\/p><\/td><td><p>means any and all materials which We may provide to You or to which You may have access during the membership;<\/p><\/td><\/tr><tr><td><p>\u201cMembership Subscription\u201d<\/p><\/td><td><p>means Your subscription to the Membership;<\/p><\/td><\/tr><tr><td><p>\u201cOrder\u201d<\/p><\/td><td><p>means Your order for a Membership Subscription;<\/p><\/td><\/tr><tr><td><p>\u201cOrder Confirmation\u201d<\/p><\/td><td><p>means Our acceptance and confirmation of Your Order;<\/p><\/td><\/tr><tr><td><p>\u201cOur Site\u201d<\/p><\/td><td><p>means our websites at <a href=\"http:\/\/wiskowandwhite.com\/\">wiskowandwhite.com<\/a> and<a href=\"http:\/\/lalista.com\/\"> lalista.com<\/a>;<\/p><\/td><\/tr><tr><td><p>\u201cPlatform\u201d<\/p><\/td><td><p>means the online platform or website through which We may release any Membership Materials to You from time to time;<\/p><\/td><\/tr><tr><td><p>\u201cTerm\u201d<\/p><\/td><td><p>shall have the meaning set out in Clause 2.5;<\/p><\/td><\/tr><tr><td><p>\u201cUs\u201d or \u201cWe\u201d<\/p><\/td><td><p>means Wiskow &amp; White Ltd t\/a La Lista, a limited company registered in England &amp; Wales with company number 11321343, with its registered office address at 13 Furlong Road, Westcott, England, RH4 3PP; and<\/p><\/td><\/tr><tr><td><p>\u201cYou\u201d<\/p><\/td><td><p>means the person to whom We shall provide the Membership Subscription under the Agreement.<\/p><\/td><\/tr><\/tbody><\/table><ol start=\"2\"><li>\u00a0 How the Agreement is formed<\/li><\/ol><p>2.1 Our Site will guide You through the process of placing Your Order.<\/p><p>2.2 No part of Our Site constitutes a contractual offer capable of acceptance.\u00a0 Your Order constitutes a contractual offer, subject to these Standard Terms &amp; Conditions, which We may accept.\u00a0 Our acceptance is indicated by sending You an Order Confirmation by email.\u00a0 Only once We have sent You an Order Confirmation will there be a legal, binding Agreement between You and Us.<\/p><p>2.3 If, for any reason, We cannot accept Your Order, then any Fees paid by You will be refunded to You as soon as possible.<\/p><p>2.4 We shall provide the Membership Subscription to You on the terms set out in these Standard Terms &amp; Conditions, which are incorporated into the Agreement.<\/p><p>2.5 The Agreement shall come into force on the Commencement Date and shall continue until it is terminated in accordance with Clauses 9 \u2013 11 (the Term).<\/p><ol start=\"3\"><li>The Membership<\/li><\/ol><p>3.1 The Membership is only available to persons who are over the age of 18 and are Consumers.<\/p><p>3.2 A description of the Membership appears on Our Site.\u00a0 We shall make all reasonable efforts to ensure that the general description of the Membership which appears on Our Site corresponds to the actual Membership that will be provided to You.\u00a0 However, We reserve the right to update and\/ or change the precise nature and contents of the Membership from time to time, at Our sole discretion.<\/p><p>3.3 We shall make the Membership Subscription available to You for the Term on the terms set out in these Standard Terms &amp; Conditions.\u00a0 If You choose not to access the Membership Materials or any live sessions that may be included in the Membership, You will not be entitled to any refund of Fees.\u00a0 \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0<\/p><p>3.4 When You place an Order, You will be required to expressly acknowledge that You understand that Membership Materials will be made available to You immediately You enter into the Agreement, and will accordingly lose any right You would otherwise have to cancel under Clause 9 to cancel the Agreement.<\/p><p>3.5 We expect You to satisfy yourself that the Membership will meet Your needs. We do not make any guarantee that You will obtain a particular outcome, result, or other opportunity from the Membership, including (but not limited to) securing specific vendors or venues, staying within Your budget, achieving a particular aesthetic or style for Your wedding, or any particular outcome on Your wedding day. Wedding planning involves many variables outside Our control, and results will vary depending on Your individual circumstances, decisions, and third party factors.<\/p><p>3.6\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 You understand that the Membership is not intended to be a substitute for professional advice of any kind, including (but not limited to) financial, legal, tax, catering, health and safety, event management, or any other professional advice. It is Your responsibility to seek such independent professional advice where necessary or appropriate. We accept no liability for any loss or damage arising from Your reliance on information provided as part of the Membership without obtaining appropriate professional advice.<\/p><p>3.7 The Membership and Membership Materials may include information, recommendations, or references to third party wedding vendors, venues, suppliers, or service providers (together, Third Party Providers).\u00a0 As regards those Third Party Providers:<\/p><p>3.7.1 any information We provide is for general information and guidance only and does not constitute an endorsement, recommendation, or guarantee by Us of any Third Party Provider;<\/p><p>3.7.2 We make no representations or warranties (whether express or implied) as to the quality, suitability, reliability, availability, or performance of any Third Party Provider or their products or services;<\/p><p>3.7.3 You are solely responsible for conducting Your own due diligence before engaging any Third Party Provider, including (but not limited to) verifying their credentials, insurance, availability, pricing, and suitability for Your requirements;<\/p><p>3.7.4 any contract or arrangement You enter into with a Third Party Provider is between You and that Third Party Provider alone. We shall have no liability whatsoever for any loss, damage, cost, expense, or disappointment You may suffer as a result of the acts, omissions, negligence, insolvency, or breach of contract of any Third Party Provider; and<\/p><p>3.7.5 information regarding Third Party Providers (including pricing, availability, and services offered) may change without notice. We are under no obligation to update such information and accept no liability for any inaccuracies.<\/p><p>3.8 Our Site, the Platform and the Membership Materials may contain links to third party websites, including vendor and venue websites or portfolios and other external resources. We have no control over, and accept no responsibility for, the content, privacy policies or practices of any third party website, and by including these links We are not endorsing the third party website or its operator.\u00a0 Your use of any third party website is at Your own risk and subject to the terms and conditions of that website.<\/p><ol start=\"4\"><li>\u00a0 Our obligations<\/li><\/ol><p>4.1\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 In providing the Membership to You, We shall act at all times with reasonable skill and care, consistent with prevailing standards in the wedding planning membership industry in the United Kingdom.\u00a0 If We breach these terms, You may (if You are a Member of The Club) be entitled to a refund under Clause 10.1 or 10.2.\u00a0<\/p><p>4.2\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 We shall ensure that any persons engaged by Us to provide the Membership to You have the requisite skills and experience to provide that Membership.<\/p><p>4.3 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 We will make every reasonable effort to provide the Membership in a timely manner.\u00a0 In certain circumstances, including (but not limited to) where We encounter a technical issue, We may need to postpone the delivery of a live session, and\/ or Your access to any Membership Materials.\u00a0 We shall use all reasonable endeavours to resolve any such issues.\u00a0 However, We shall not be liable for any delay in the provision of the Membership or access to the Membership Materials due to technical issues or circumstances outside Our control.<\/p><p>4.4 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Our obligations to You under the Agreement are limited to providing the Membership.\u00a0 Any request You may make for additional advice or assistance outside the scope of the Membership will be subject to additional charges.\u00a0 Any such charge will be agreed with You in advance.\u00a0<\/p><p>4.5 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 We shall not be responsible for the contents of any advice and support given to You by other Members in the course of the Membership.\u00a0 We do not endorse, and have no obligation to check and correct, any advice which may be given by Members.<\/p><p>\u00a04.6 We undertake that, during the course of the Agreement and after its termination, We will not disclose or use Confidential Information disclosed by You to Us in connection with Your participation in the Membership unless:<\/p><p>4.6.1\u00a0 \u00a0 \u00a0 \u00a0 You have given Your written consent in advance;<\/p><p>4.6.2\u00a0 \u00a0 \u00a0 \u00a0 the Confidential Information becomes public knowledge other than by reason of Our unauthorised disclosure; or<\/p><p>4.6.3\u00a0 \u00a0 \u00a0 \u00a0 We are required as a matter of law to disclose that Confidential Information;<\/p><p>4.6.4 in exceptional circumstances, We believe there is a risk of harm to You or others.<\/p><p>4.7 For further information on Your rights as a Consumer, please contact Your local Citizen\u2019s Advice Bureau.<\/p><ol start=\"5\"><li>\u00a0 Your obligations<\/li><\/ol><p>5.1\u00a0 \u00a0 You may need to create an Account on Our Site or on the Platform to access Membership Materials, which will be accessed by entering a user ID and a password (together the Log In Details).\u00a0 You agree that You will not under any circumstances share Your Account or Your Log In Details with any other person.\u00a0 If You believe that Your Account or Your Log In Details are being used without Your permission, You must contact Us immediately at <a href=\"mailto:hello@lalista.com\">hello@lalista.com<\/a>.<\/p><p>5.2 You understand and acknowledge the importance of the Confidential Information and Intellectual Property to Our business, and of preserving the confidentiality of any information disclosed by other Members.\u00a0 You undertake to comply at all times with Your obligations in relation to the Confidential Information and Our Intellectual Property Rights as set out in Clauses 7 and 8 below.<\/p><p>5.3 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 When communicating in any way during the Membership, including in the online Membership community, You must comply at all times with the Community Guidelines and not do anything which infringes the terms of use of Our Site or the Platform.<\/p><p>5.4 We reserve the right to suspend or terminate Your participation in the Membership and\/ or Your access to the Membership Materials if You materially breach the provisions of this Clause 5 or any of the other provisions of the Agreement.\u00a0 If We suspend or terminate Your participation in the Membership under this Clause 5.4, no refund shall be due to You in respect of the Fees (or any part of them).<\/p><ol start=\"6\"><li>\u00a0 Membership Subscription Fees\u00a0<\/li><\/ol><p>6.1 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0This Clause 6 only applies to You if You are purchasing a Membership Subscription to The Club.\u00a0 It does not apply to You if You have signed up for Our free Membership for couples, for which no Fees are payable.<\/p><p>6.2 In consideration for Us providing the Membership Subscription to the Club to You, You agree to pay the Fees in accordance with this Clause 6.<\/p><p>6.3\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The Fees for Membership to The Club shall be the monthly Membership Fees displayed on Our Site at the time of Your Order, and are payable via the payment gateway on Our Site.<\/p><p>6.4\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Your subscription will automatically renew monthly on the date each month which corresponds with the Commencement Date, and the applicable monthly Fees will be charged to Your payment method unless You cancel Your subscription in accordance with Clause 10.3.\u00a0 You may cancel Your Membership Subscription at any time to prevent future renewals, and cancellation will take effect at the end of Your current billing period.<\/p><p>6.5 Any fees charged by Your bank or Your debit or credit card provider in connection with Your payment of the Fees are for Your own account.<\/p><p>6.6\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 If the Fees are not paid in accordance with this Clause 6, We reserve the right to:<\/p><p>6.6.1\u00a0 \u00a0 \u00a0 \u00a0 charge interest on any overdue sum at the rate of 4% per annum above the base rate of the Bank of England from time to time, from the due date for payment until the actual date of payment of the overdue sum, and is payable on demand;\u00a0<\/p><p>6.6.2\u00a0 \u00a0 \u00a0 \u00a0 suspend Your access to the Membership until payment of all outstanding Fees (together with interest) is made in full; and\/ or<\/p><p>6.6.3\u00a0 \u00a0 \u00a0 \u00a0 terminate the Agreement, in accordance with Clause 11.1.<\/p><p>6.7\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 We make all reasonable efforts to ensure that the Fees shown on Our Site are correct at the time of going online.\u00a0 We reserve the right to change the Fees and to add, alter or remove special offers from time to time.\u00a0 Changes in the Fees will not affect You if You have already entered into the Agreement.<\/p><ol start=\"7\"><li>\u00a0 Confidential information<\/li><\/ol><p>7.1\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 As a result of Your participation in the Membership, You may receive Confidential Information.\u00a0 You may also be privy to Confidential Information disclosed by Us or by other Members.<\/p><p>7.2\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 You undertake, at all times during the continuance of the Agreement and after its termination, to:<\/p><p>7.2.1\u00a0 \u00a0 \u00a0 \u00a0 keep confidential all Confidential Information;<\/p><p>7.2.2\u00a0 \u00a0 \u00a0 \u00a0 not disclose (either directly or indirectly) any Confidential Information or any information relating to any Member to any other person;<\/p><p>7.2.3\u00a0 \u00a0 \u00a0 \u00a0 not use any Confidential Information other than for the purpose of Your participation in the Membership and subject to the Agreement; and<\/p><p>7.2.4\u00a0 \u00a0 \u00a0 \u00a0 not make any copies of, record in any way or part with possession of any Confidential Information or any information relating to any Member.<\/p><p>7.3\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The obligations contained in this Clause 7 shall survive the Agreement.<\/p><ol start=\"8\"><li>\u00a0 Intellectual property<\/li><\/ol><p>8.1\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 All Intellectual Property Rights subsisting in Our Site and in the Membership Materials shall at all times remain Our exclusive property (or the property of Our licensors, as appropriate).\u00a0 Nothing in the Agreement shall vest in You any rights in the Membership Materials or any other material provided by or belonging to Us (or Our licensors, as appropriate).\u00a0\u00a0<\/p><p>8.2\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 When We provide You with access to the Membership Materials, We will grant You a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Membership Materials for Your personal, non-commercial use in connection with planning Your wedding.\u00a0 The licence granted to You does not give You any rights in the Membership Materials (including any materials that We may licence from third parties).<\/p><p>8.3\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 You may not, for the term of the Agreement and at any time after its termination:<\/p><p>8.3.1\u00a0 \u00a0 \u00a0 \u00a0 copy, record, reproduce, modify, rent, sell, publish, republish, sub-licence, post, broadcast, distribute, share or otherwise transmit the Membership Materials (or any part of them) or make the Membership Materials (or any part of them) available to any other person;<\/p><p>8.3.2\u00a0 \u00a0 \u00a0 \u00a0 use the Membership Materials for commercial purposes; or<\/p><p>8.3.3 record any live session which may be provided as part of the Membership, without Our advance written consent.<\/p><p>8.4\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 If You become aware of any actual or threatened infringement of Our Intellectual Property Rights, You agree to inform Us immediately in writing.<\/p><p>8.5 During the course of Your Membership, You may contribute content including (but not limited to) written comments, questions, recommendations, images and feedback (User Content). You:<\/p><p>8.5.1 grant Us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, reproduce, modify, adapt, publish, translate, distribute, and display any User Content You contribute during the Membership for the purposes of operating and promoting the Membership; and<\/p><p>8.5.2 represent and warrant that You own or have the necessary rights to any User Content You contribute and that such content does not infringe the Intellectual Property, Data Protection and other rights of any third party.<\/p><ol start=\"9\"><li>\u2018Cooling Off Period\u2019<\/li><\/ol><p>9.1 If You have purchased a subscription to the Club and are a Consumer in the United Kingdom or the EU, You have a legal right to a \u201ccooling off period\u201d during which You can cancel the Agreement for any reason and obtain a refund (the Cooling Off Period).\u00a0 This Cooling Off Period begins on the day following the date on which the Agreement is entered into, and ends:<\/p><p>9.1.1 when You access, download or stream any Membership Materials; or<\/p><p>9.1.2 (provided You have not accessed, downloaded or streamed any Membership Materials) 14 calendar days from the date on which the Cooling Off Period begins.\u00a0\u00a0<\/p><p>9.2 You do not have a right to a Cooling Off Period if You enter into the Agreement wholly or mainly for the purposes of Your business.<\/p><p>9.3 If You purchase a Membership Subscription by mistake, please inform Us as soon as possible and do not attempt to access any Membership Materials.\u00a0 Provided You have not accessed any Membership Materials since the Commencement Date, You may exercise Your right to cancel referred to in Clause 9.1 and You will receive a refund of Fees paid.\u00a0 If You have accessed any Membership Materials after the Commencement Date, We will not be able to offer any refund and You will continue to have access to the Membership and the Membership Materials for the remainder of the Term.<\/p><p>9.4 If You wish to exercise Your right to cancel under Clause 9.1, You must inform Us of Your decision within the Cooling Off Period.\u00a0 You may inform Us of this in any way You wish.\u00a0 However, for Your convenience, a sample cancellation notice is included in the Schedule to these Standard Terms &amp; Conditions.\u00a0 If You cancel by email, Your cancellation is effective from the date on which You send Your cancellation.\u00a0 Any cancellation notice should be sent to us by email at <a href=\"mailto:hello@lalista.com\">hello@lalista.com<\/a>.<\/p><ol start=\"10\"><li>Cancellation by You after the Cooling Off Period<\/li><\/ol><p>10.1\u00a0 \u00a0 \u00a0 \u00a0 We are under a legal duty to supply products that are in conformity with the Agreement between You and Us.\u00a0 If You purchase a subscription to The Club as a Consumer, the Consumer Rights Act 2015 gives you certain legal rights in relation to the Membership, which are summarised below.\u00a0 Nothing in the Agreement will affect those legal rights.<\/p><p>Summary of your key legal rights as a Consumer<\/p><ul><li>The Consumer Rights Act 2015 says digital content must be as described, fit for purpose and of satisfactory quality.\u00a0\u00a0<\/li><li>If the digital content is faulty, you are entitled to a repair or a replacement.<\/li><li>If the fault can&#8217;t be fixed, or if it hasn&#8217;t been fixed within a reasonable time and without significant inconvenience, you can get some or all of your money back.\u00a0<\/li><li>If you can show the fault has damaged your device and we haven&#8217;t used reasonable care and skill, you may be entitled to a repair or compensation.<\/li><\/ul><p>10.2 If you have purchased a subscription to The Club, You may cancel the Agreement immediately and obtain a refund if You can show We were in material breach of the Agreement.\u00a0 For further details of Your legal rights in the event of a breach of the Agreement by Us, please contact Your local Citizens\u2019 Advice Bureau.<\/p><p>10.3 You may also cancel the Agreement by selecting the \u2018Cancel My Membership\u2019 option in your user profile.\u00a0 If You have purchased a subscription to The Club, cancellation under this Clause 10.3 will take effect on the day immediately preceding the day on which Your next Membership Subscription Fees would have been due, but for Your cancellation.\u00a0 If You have signed up for Our free membership for couples, Your cancellation will take effect immediately.<\/p><p>10.4 If You cancel the Agreement under Clause 10.3:<\/p><p>10.4.1 You shall not be entitled to a refund of any Membership Subscription Fees (or any part thereof) already paid by You; and<\/p><p>10.4.2 You shall not be liable to pay any further Membership Subscription Fees after the date on which Your notice of cancellation takes effect.<\/p><ol start=\"11\"><li>Our right to terminate the Agreement<\/li><\/ol><p>11.1 \u00a0 \u00a0 \u00a0 \u00a0 We shall have the right to terminate the Agreement immediately if:<\/p><p>11.1.1\u00a0 \u00a0 \u00a0 You breach any of the terms of the Agreement including but not limited to:\u00a0<\/p><p>\u00a0\u00a011.1.1.1 \u00a0 Your obligations as set out in Clause 5;<\/p><p>11.1.1.2 \u00a0 \u00a0 Your obligation to pay the Fees in full and on time, in accordance with Clause 6; or<\/p><p>11.1.1.3 \u00a0 \u00a0 Your obligations in respect of the Confidential Information (Clause 7) and Our Intellectual Property (Clause 8);<\/p><p>11.1.2\u00a0 \u00a0 \u00a0 You are declared bankrupt or enter into an insolvency or administration procedure or voluntary arrangement or composition with creditors; or<\/p><p>11.1.3\u00a0 \u00a0 \u00a0 You have in Our reasonable opinion acted in such a way as might affect Our goodwill or reputation, or Our ability to deliver the Membership to You or to other Members.<\/p><p>11.2\u00a0 \u00a0 \u00a0 We shall have the right to terminate the Agreement if an Event Outside Our Control occurs that continues for more than 60 days, or if We are unable to provide or continue to provide the Membership due to the non-availability of the necessary personnel and\/ or materials, or for technical reasons.<\/p><p>11.3\u00a0 \u00a0 \u00a0 \u00a0 We shall have the right to terminate the Agreement, at any time and for any reason, on 30 days\u2019 written notice.<\/p><p>11.4 If We terminate the Agreement under this Clause 11:<\/p><p>11.4.1 You shall not be entitled to a refund of any Membership Subscription Fees (or any part thereof) already paid by You as at the date of Our termination; and<\/p><p>11.4.2 You shall not be liable to pay any further Membership Subscription Fees after the date on which Our notice of termination takes effect.<\/p><ol start=\"12\"><li>Effects of cancellation or termination<\/li><\/ol><p>12.1 \u00a0 \u00a0 \u00a0 \u00a0 Upon cancellation, termination or expiry of the Agreement:<\/p><p>12.1.1\u00a0 \u00a0 \u00a0 any outstanding Fees due from You to Us under the Agreement shall become immediately due and payable;<\/p><p>12.1.2\u00a0 \u00a0 \u00a0 The licence referred to in Clause 8.2 shall terminate;\u00a0<\/p><p>12.1.3\u00a0 \u00a0 \u00a0 You will cease to have access to the Membership and (unless We agree otherwise) the Membership Materials;<\/p><p>12.1.4 You undertake (if We so request) to destroy any soft or hard copies of the Membership Materials that are in Your possession, custody or control, and to confirm to Us in writing that You have done so;<\/p><p>12.1.5\u00a0 \u00a0 \u00a0 You and We agree not to engage in any conduct or communications, public or private, intended or likely to have the effect of disparaging the other or damaging their interests;<\/p><p>12.1.6 We shall have no obligation to return to You or remove any written or recorded content contributed by You in the course of Your participation in the Membership included to any recorded live sessions or any group associated with the Membership;\u00a0\u00a0\u00a0\u00a0\u00a0<\/p><p>12.1.7 all clauses of the Agreement which, either expressly or by their nature, relate to the period after the expiry or termination of the Agreement shall remain in full force and effect;<\/p><p>12.1.8\u00a0 \u00a0 \u00a0 termination or cancellation shall not affect any remedy which the terminating party may have in respect of the event giving rise to the termination or cancellation or in respect of any breach of the Agreement which existed at or before the date of termination; and<\/p><p>12.1.9\u00a0 \u00a0 \u00a0 subject as provided in this Clause 12, and except in respect of any accrued rights, neither party shall be under any further obligation to the other.<\/p><ol start=\"13\"><li>Our liability<\/li><\/ol><p>13.1 \u00a0 \u00a0 \u00a0 \u00a0 Subject to the remainder of this Clause 13, We will be responsible for any foreseeable loss and damage that You may suffer as a result of Our breach of the Agreement or as a result of Our negligence.\u00a0 Loss or damage is foreseeable if it is an obvious consequence of Our breach or negligence or if it is contemplated by You and Us when the Agreement is entered into.\u00a0 We will not be responsible for any loss or damage that is not foreseeable.<\/p><p>13.2 We make reasonable efforts to ensure that any Membership Materials We provide are accurate, complete and up-to-date.\u00a0 We do not, however, make any representations, warranties or guarantees (whether express or implied) in this regard.\u00a0 We are under no obligation to update the Membership Materials after they are provided to You.<\/p><p>13.3 The Membership is intended for non-commercial use only.\u00a0 Accordingly, We shall not be liable in respect of any loss of profit, loss of business, interruption to business, loss of business opportunity, loss of goodwill or reputation or any indirect, special or consequential loss or damages.<\/p><p>13.4 \u00a0 \u00a0 \u00a0 \u00a0 We shall not be responsible for the contents of any advice and support given to You by other Members in the course of the Membership.\u00a0 We have no obligation to check and correct any incorrect or inaccurate advice which may be given by Members.\u00a0 It is Your responsibility to check and confirm the content of any such advice.<\/p><p>13.5 Without prejudice to the generality of Clauses 13.1 &#8211; 13.4, all warranties and representations are excluded to the fullest extent permitted by law.<\/p><p>13.6 Our total liability to You in respect of any claims arising out of or in connection with the Agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total Membership Subscription Fees paid by You to Us under the Agreement.<\/p><p>13.7 \u00a0 \u00a0 \u00a0 \u00a0 Nothing in the Agreement seeks to exclude or limit Our liability for death or personal injury caused by Our negligence, or for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded by English law, or to limit Your rights as a Consumer.\u00a0<\/p><p>13.8\u00a0 \u00a0 \u00a0 \u00a0 The provisions of this Clause 13 shall survive the termination or expiry of the Agreement.<\/p><ol start=\"14\"><li>Events outside Our control<\/li><\/ol><p>We shall not be liable for any failure or delay in performing Our obligations under the Agreement where that failure or delay arises from a cause or event that is beyond Our control.\u00a0 Such causes or events may include, but are not limited to: power failure, internet service provider failure, service interruptions, industrial action by third parties, civil unrest, fire, explosion, flood, storms, earthquakes, subsidence, acts of terrorism, acts of war, governmental action, epidemic, pandemic or other natural disaster or any other event that is beyond Our reasonable control.<\/p><ol start=\"15\"><li>Data Protection<\/li><\/ol><p>15.1 \u00a0 \u00a0 \u00a0 \u00a0 All personal information that You and We may use shall be collected, processed and held in accordance with the provisions of the Data Protection Legislation and the data subjects\u2019 rights (including the rights of the parties to the Agreement) under the Data Protection Legislation.\u00a0\u00a0<\/p><p>15.2 \u00a0 \u00a0 \u00a0 \u00a0 For complete details of Our collection, processing, storage, and retention of personal data including, but not limited to, the purpose(s) for which personal data is used, the legal basis or bases for using it, details of Your rights and how to exercise them, and personal data sharing (where applicable), please refer to the Privacy Notice which is available on request or on Our Site.<\/p><p>15.3\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 You understand that any live sessions we may provide as part of The Club Membership may be recorded and made available to view by Members.\u00a0 You hereby consent to Us recording, storing and using any such live sessions including Your voice and likeness and image in accordance with the Data Protection Legislation.<\/p><p>15.4 We may from time to time request Your permission to use anonymised or attributed feedback, testimonials, reviews, photographs, or case studies relating to Your participation in the Membership for Our marketing and promotional purposes. Any use of attributed content (including Your name, images or identifiable details) will be subject to Your prior written consent, which You may withdraw at any time by contacting Us.<\/p><p>15.5 By entering into the Agreement, You consent to Us holding, processing and accessing Your personal and special category or sensitive personal data for all purposes relating to provision of the Membership under the Agreement, in accordance with Our Privacy Notice and this Clause 15.<\/p><ol start=\"16\"><li>No Waiver<\/li><\/ol><p>No failure or delay by Us in exercising any of Our rights under the Agreement shall be deemed to be a waiver of that right, and no waiver by Us of a breach of any provision of the Agreement shall be deemed to be a waiver of any subsequent breach of the same or any other provision.<\/p><ol start=\"17\"><li>Assignment, Sub-Contracting and Third Party Rights<\/li><\/ol><p>17.1 We may transfer (assign) Our rights under the Agreement to a third party (this may happen, for example, if We sell Our business).\u00a0 If this occurs, You will be informed by Us in writing.\u00a0 Your rights under the Agreement will not be affected and Our obligations under the Agreement will be transferred to a third party who will be bound by them.<\/p><p>17.2 \u00a0 \u00a0 \u00a0 \u00a0 You may not transfer (assign) Your obligations and rights under the Agreement without Our express written permission.<\/p><p>17.3 \u00a0 \u00a0 \u00a0 \u00a0 We shall be entitled to perform any of Our obligations under the Agreement through suitably qualified and skilled sub-contractors.\u00a0<\/p><p>17.4 \u00a0 \u00a0 \u00a0 \u00a0 The Agreement is between You and Us.\u00a0 No part of the Agreement is intended to benefit or confer rights on any other person, and accordingly the Contracts (Rights of Third Parties) Act 1999 shall not apply to the Agreement.\u00a0<\/p><p>17.5 \u00a0 \u00a0 \u00a0 \u00a0 Subject to the above provisions of this Clause 17, the Agreement shall continue and be binding on Your and \/ or Our transferee, successors and assigns, as required.<\/p><ol start=\"18\"><li>Severance<\/li><\/ol><p>In the event that one or more of the provisions of the Agreement is found to be unlawful, invalid or otherwise unenforceable, that \/ those provision(s) shall be deemed severed from the remainder of the Agreement.\u00a0 The remainder of the Agreement shall be valid and enforceable.<\/p><ol start=\"19\"><li>Entire Agreement<\/li><\/ol><p>19.1 \u00a0 \u00a0 \u00a0 \u00a0 The Agreement contains the entire agreement between You and Us with respect to its subject matter and supersedes and extinguishes all previous agreements, assurances, warranties, representations and understandings between You and Us with respect to its subject matter.<\/p><p>19.2 \u00a0 \u00a0 \u00a0 \u00a0 You and We acknowledge that, in entering into the Agreement, You and We do not rely on any representation, warranty, assurance or other provision (made innocently or negligently) except as expressly provided in the Agreement, and shall have no remedies in respect thereof.<\/p><ol start=\"20\"><li>Amendments to these Standard Terms &amp; Definitions<\/strong><\/p><p>In these Terms, unless the context otherwise requires:<\/p><p>&#8220;Agreement&#8221; means the agreement between You and Us formed in accordance with Clause 7;<\/p><p>&#8220;Brand Assets&#8221; means all logos, images, photographs, copy and other materials You provide to Us for use in Your Listing, if You are a member of the Directory;<\/p><p>&#8220;Code of Ethics&#8221; means Our code of ethics for Directory members, as published on Our website at <a href=\"http:\/\/lalista.com\/policies\">lalista.com\/policies<\/a> as amended by Us from time to time;<\/p><p>&#8220;Complaints Protocol&#8221; means Our complaints protocol, as published on Our website at <a href=\"http:\/\/lalista.com\/policies\">lalista.com\/policies<\/a> as amended by Us from time to time;<\/p><p>\u201cCouples\u201d means the individual(s) who may contact You as a result of viewing Your Listing (if You are a member of the Directory) or as a result of You being featured in Our social media accounts or Our marketing materials, or as a result of any other activities undertaken by Us;<\/p><p>\u201cData Protection Legislation\u201d means applicable data protection and privacy legislation in force in relation to the parties to the Agreement relating to the use of personal data and the privacy of electronic communications;<\/p><p>&#8220;Directory&#8221; means the La Lista wedding supplier directory on Our Website;<\/p><p>&#8220;Dispute&#8221; means any dispute arising out of or in connection with the Agreement;<\/p><p>&#8220;Fees&#8221; means the fees payable by You for Your Membership, as displayed on Our Website at the time of Your application;<\/p><p>&#8220;Joining Bonus&#8221; means the additional promotional activities provided to new Directory members in their first year, as described in Clause 5;<\/p><p>&#8220;Listing&#8221; means Your profile listing in the Directory, if You are a member of the Directory;<\/p><p>&#8220;Membership&#8221; means Your annual membership subscription to the Collective or to the Directory at the tier selected by You at checkout (Standard or Enhanced);<\/p><p>&#8220;Membership Confirmation&#8221; means Our confirmation of Your Membership, sent by email following approval of Your application to join the Collective or the Directory and receipt of payment;<\/p><p>&#8220;Membership Period&#8221; means the period of one year (if You are a Directory member) or one month (if You are a Collective member) in each case commencing on the date We send You a Membership Confirmation;<\/p><p>&#8220;Services&#8221; means the services included in Your Membership type and tier, as described in Clauses 4 and 5;<\/p><p>\u00a0<\/p><p>&#8220;You&#8221; \/ &#8220;Your&#8221; means the business, company, partnership, sole trader or other entity applying for or holding a Membership.<\/p><p><strong>4. Collective Membership Services<\/strong><\/p><p>4.1 This Clause 4 applies to the Collective Membership.\u00a0 If You are purchasing a subscription to the Directory Membership, please see Clause 5.<\/p><p>4.2 If You apply to join the Collective, the services We will provide to You are those listed on Our website at the time of Your application.\u00a0 These may include some or all of the following:<\/p><p>4.2.1 access to Our bi-annual industry insights sessions;<\/p><p>4.2.2 access to Our supplier community;<\/p><p>4.2.3 discounted access to Our events;<\/p><p>4.2.4 opportunity to submit \u2018real wedding\u2019 editorial submissions for inclusion in Our marketing materials;\u00a0<\/p><p>4.2.5 access to a B2B member profile.<\/p><p>4.3 We reserve the right to change the services included in the Collective from time to time. Any material changes will be notified to You before Your next renewal date.<\/p><p>4.4 If You request any services or promotional activities that are not included in the Collective Membership, We may (at Our discretion) agree to provide these as additional services. Any additional services will be subject to separate charges, which must be agreed in writing between You and Us before We provide those services.<\/p><p><strong>5. Directory Membership Tiers and Services<\/strong><\/p><p>5.1 We offer two Directory Membership tiers: Standard Directory Membership and Enhanced Directory Membership. The services included in Your Directory Membership will depend on the tier you select at checkout.\u00a0 Note that the services and opportunities described in this Clause 5 apply only to membership of the Directory, and not to the Collective Membership.<\/p><p><strong>5.2 Standard Directory Membership includes:<\/strong><\/p><p>5.2.1 the Collective services set out in Clause 4.2 above for 6 months from 14th October 2026 for existing Directory members;<\/p><p>5.2.2 a brand portfolio Listing on <a href=\"http:\/\/lalista.com\/\">lalista.com<\/a>;<\/p><p>5.2.3 La Lista stamp of approval and social asset suite for Your use;<\/p><p>5.2.4 access to Our annual insights report;<\/p><p>5.2.5 invitations to exclusive La Lista vendor events (subject to additional fees);<\/p><p>5.2.6 access to member-only advertising opportunities (subject to additional fees as described in Clause 5.8);<\/p><p>5.2.7 priority \u2018real wedding\u2019 editorial submissions;<\/p><p>5.3 Enhanced Directory Membership includes the Standard Directory Membership inclusions set out in Clause 5.2, together with any additional Enhanced Directory Membership features described on Our website at the time of Your application. Enhanced Directory Membership promotional features may vary depending on whether You are a vendor or a venue.<\/p><p>5.4 Joining Bonus. New Directory members may receive a Joining Bonus of additional promotional activities in their first Membership Period, if this is offered on Our website at the time of application. The Joining Bonus is not included in subsequent renewals. The specific Joining Bonus activities may vary depending on whether You are a vendor or a venue.<\/p><p>5.5 We reserve the right to change the Services included in the Directory Membership from time to time. Any material changes will be notified to You before Your next renewal date.<\/p><p>5.6 Recommendations and promotional features are provided to Directory Members at Our sole discretion and subject to suitability for Our audience. We do not guarantee any minimum number of recommendations, features or promotional activities.<\/p><p>5.7 Additional Services. If You request any services or promotional activities that are not included in Your selected Directory Membership tier, We may (at Our discretion) agree to provide these as additional services. Any additional services will be subject to separate charges, which must be agreed in writing between You and Us before We provide those services.<\/p><p>5.8 Advertising and Sponsorship. In addition to the Services included in Your Directory Membership tier, We may offer advertising and sponsorship opportunities exclusively to Directory members. These may include promotional packages, homepage features, email newsletter features, social media promotions, event sponsorship and partnership opportunities. For the avoidance of doubt:<\/p><p>5.8.1 advertising and sponsorship opportunities are not included in Your Membership Fees and are subject to separate charges;<\/p><p>5.8.2 the &#8220;member-only advertising opportunities&#8221; referred to in Clause 5.2.6 means that as a Directory member You have access to purchase advertising at member rates, and does not mean free advertising is included in Your Directory Membership;<\/p><p>5.8.3 details of available advertising and sponsorship packages and their pricing are available on request or as published on Our Website from time to time;<\/p><p>5.8.4 advertising spaces are limited and are scheduled at Our sole discretion;<\/p><p>5.8.5 any advertising or sponsorship You wish to purchase must be agreed separately in writing, and You will be invoiced for the applicable fees in addition to Your Directory Membership Fees.<\/p><p><strong>6. Access to the Directory and to Our Website<\/strong><\/p><p>6.1 Access to the Directory and Our Website is provided on an &#8220;as is&#8221; and &#8220;as available&#8221; basis. We do not guarantee that the Directory or Our Website will always be available, uninterrupted, secure or error-free.\u00a0 Whilst We will always endeavour to resolve any downtime issues, We will not be liable to You if the Directory or Our Website is unavailable at any time or for any period.<\/p><p>6.2 We may suspend, withdraw, discontinue or change all or any part of the Directory at Our discretion.\u00a0<\/p><p>6.3 You are responsible for making all arrangements necessary for You to have access to the Directory and Our Website, including obtaining and maintaining appropriate internet connectivity and equipment.<\/p><p>6.4 You must not misuse the Directory or Our Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Directory, Our Website, the servers on which they are stored, or any server, computer or database connected to them.<\/p><p><strong>7. Application and Acceptance<\/strong><\/p><p>7.1 To apply for Membership, You must complete the application form on Our website.\u00a0 Submitting an application does not guarantee acceptance.\u00a0<\/p><p>7.2 All applications for Directory Membership are subject to Our vetting process. We reserve the right to reject any application at Our sole discretion, without giving reasons.\u00a0 If Your application is approved, We will send You an invoice or payment link for the Fees.\u00a0<\/p><p>7.3 The Agreement will be formed when We receive payment in full and send You a Membership Confirmation. Only at that point will there be a legally binding contract between You and Us, incorporating these Terms.<\/p><p>7.4 If We reject Your application, or if We do not receive payment of Fees within the time stated for payment, no Agreement will be formed and We will have no obligations to You.<\/p><p><strong>8. The Code of Ethics<\/strong><\/p><p>8.1 By applying for Membership, You agree to comply with Our Code of Ethics throughout the term of Your Membership and in all Your dealings with Couples, other vendors and venues, and La Lista.<\/p><p>8.2 The Code of Ethics is published on Our website and forms part of these Terms. You should read it carefully before applying. Key requirements of The Code are stated at <a href=\"https:\/\/www.lalista.com\/policies\">lalista.com\/policies\u00a0<\/a><\/p><p><strong>9. Fees and Payment<\/strong><\/p><p>9.1 The Fees for Membership are as displayed on Our website at the time of Your application. Unless You and We agree otherwise in writing, Fees are payable annually in advance, in full.<\/p><p>9.2 All Fees are exclusive of VAT, which will be added at the applicable rate where due.<\/p><p>9.3 Your Listing will not be activated until We have received payment in full.<\/p><p>9.4 We make all reasonable efforts to ensure that all prices shown on Our website are correct. In the unlikely event that We have shown incorrect pricing information, We will contact You in writing to inform You of the mistake. If the correct price is lower than that shown, We will charge You the lower amount. If the correct price is higher, We will give You the option to purchase at the correct price or to cancel Your application.<\/p><p>9.5 We reserve the right to change Our Fees from time to time. Any price changes will take effect from Your next renewal date and will not affect Your current Membership period.<\/p><p>9.6 If any payment of Fees or for additional services is not received from You by the due date, We may (without limiting Our other rights and remedies):<\/p><p>9.6.1 suspend Your Listing and access to the Membership services until payment is received;<\/p><p>9.6.2 charge interest on the overdue amount at the rate of 4% per annum above the Bank of England base rate from time to time, accruing daily from the due date until payment is made;<\/p><p>9.6.3 terminate the Agreement and remove Your Listing if payment remains outstanding for more than 14 days after the due date.<\/p><p><strong>10. Renewal and Cancellation<\/strong><\/p><p>10.1 Your Membership will automatically renew at the end of each Membership Period unless You or We cancel it in accordance with this Clause 10.<\/p><p>10.2 We will send You a renewal invoice before Your renewal date. If payment is not received within 14 days of the renewal date, Your Membership will lapse and (if You are a Directory member) Your Listing will be removed from the Directory.<\/p><p>10.3 Cancellation by You. You may cancel Your Membership (or cancel the automatic renewal) at any time by notifying Us by email at <a href=\"mailto:hello@lalista.com\">hello@lalista.com<\/a>. Cancellation will take effect at the end of Your current Membership Period. No refunds will be given for any unexpired portion of Your Membership Period.<\/p><p>10.4 Your right to cancel for Our breach. You may cancel the Agreement immediately by written notice to Us if:<\/p><p>10.4.1 We commit a material breach of these Terms and fail to remedy that breach within 30 days of You notifying Us in writing of the breach;<\/p><p>10.4.2 if You are a Directory member, We suspend availability of Your Listing (other than for Your breach or for scheduled maintenance) for a continuous period of more than 30 days; or<\/p><p>10.4.3 a Force Majeure Event (as defined in Clause 20) continues for more than 60 days.<\/p><p>10.5 If You cancel the Agreement under Clause 10.4, We will refund a pro-rated portion of the Fees for the unexpired part of Your Membership Period. Any such refund will be issued within 14 days of the cancellation taking effect, using the same payment method You used to pay the Fees (unless You request otherwise).<\/p><p>10.6 Cancellation by Us. If You are a Collective member, We may cancel Your Membership at any time, with such cancellation taking effect at the end of Your Membership Period.\u00a0 If You are a Directory Member, We may cancel Your Membership at any time by giving You 30 days&#8217; written notice. If We cancel under this Clause 10.6 (other than for Your breach), We will refund a pro-rated portion of the Fees for the unexpired part of Your Membership Period.\u00a0 If We cancel Your Membership because You have breached the Agreement, the Code of Ethics, or because You have acted in a way which has (or might) bring You or Us into disrepute, then We have the immediate right to cancel the Agreement on written notice to You, to remove Your Listing, and no Fees shall be refunded to You.<\/p><p><strong>11. Your Obligations<\/strong><\/p><p>11.1 If You are a Directory Member, You must provide Us with all Brand Assets, information and materials We require to create and maintain Your Listing, by any deadline We specify.<\/p><p>11.2 You must cooperate with Us and respond promptly to Our reasonable requests, to enable Us to provide the Services.<\/p><p>11.3 All information You provide to Us must be accurate, complete and not misleading. You must notify Us promptly of any changes to Your business details, contact information, services offered or pricing.<\/p><p>11.4 If You are a Directory member, You are solely responsible for the content of Your Listing. You warrant that:<\/p><p>11.4.1 all information in Your Listing is accurate and truthful;<\/p><p>11.4.2 You own or have the necessary rights to use all Brand Assets You provide to Us;<\/p><p>11.4.3 Your Listing does not infringe the intellectual property or privacy rights of any third party;<\/p><p>11.4.4 You have obtained all necessary permissions to use images of real weddings, including from photographers and couples.<\/p><p>11.5 If You are a Directory member, We may review and approve Your Listing and any Brand Assets before publication. We reserve the right to reject, edit or remove any content that We consider (in Our sole discretion) to be inaccurate, misleading, inappropriate, or not in keeping with the La Lista brand.<\/p><p>11.6 You shall ensure that all persons engaged by You or working on Your behalf in connection with Your business, including employees, workers, contractors, subcontractors and agents, are made aware of and comply with these Terms and the Code of Ethics. You are fully responsible for their acts and omissions, and any breach by them shall be treated as a breach by You.<\/p><p><br \/><br \/><\/p><p><strong>12. Acceptable Use<\/strong><\/p><p>12.1 When submitting content for Your Listing or otherwise using the Directory, Our Website and any associated community space, You must not submit or do anything that:<\/p><p>12.1.1 is obscene, offensive, hateful or inflammatory;<\/p><p>12.1.2 promotes violence or unlawful activity;<\/p><p>12.1.3 discriminates against, or is defamatory of, any person, group, race, gender, religion, nationality, disability, sexual orientation or age;<\/p><p>12.1.4 is intended or likely to threaten, harass, annoy, alarm, inconvenience, upset or embarrass another person;<\/p><p>12.1.5 is calculated or likely to deceive, including any false, misleading or unsubstantiated claims about Your business, services, qualifications, affiliations, experience or pricing;<\/p><p>12.1.6 infringes or is likely to infringe another person&#8217;s right to privacy or uses their personal data without authority;<\/p><p>12.1.7 infringes the intellectual property rights of any third party, including copyrights, patents, trade marks and database rights;<\/p><p>12.1.8 is in breach of any legal duty owed to a third party, including contractual duties and duties of confidence;<\/p><p>12.1.9 infringes any applicable laws, advertising standards and regulations.<\/p><p>12.2 We reserve the right to suspend or terminate Your membership and any associated Listing if You breach this Clause 12. No refunds will be given in the event of suspension or termination under this Clause.<\/p><p><strong>13. Your Legal Compliance<\/strong><\/p><p>13.1 You warrant and undertake that, in Your communication with Couples, potential clients and when providing Your services:<\/p><p>13.1.1 You will comply with all laws, regulations, codes of practice and industry standards applicable to Your business and the services You provide, in all jurisdictions in which You operate;<\/p><p>13.1.2 You hold all licences, permits, registrations and insurances required to lawfully provide Your services;<\/p><p>13.1.3 You will ensure that all contracts You enter into with couples comply with the applicable law, including but not limited to the applicable consumer protection laws in the relevant jurisdiction(s);<\/p><p>13.1.4 You will not make any false, misleading or deceptive claims about Your services, qualifications, affiliations, experience or pricing;<\/p><p>13.1.5 You will comply with all applicable advertising standards and regulations.<\/p><p>13.2 You are solely responsible for Your own compliance with applicable laws. Nothing in the Agreement or Your Membership constitutes legal advice from La Lista, and We make no representations about the laws applicable to Your business.<\/p><p><strong>14. Complaints from Couples<\/strong><\/p><p>14.1 If We receive a complaint about You from a Couple, any member of the La Lista community, another vendor, or any third party, We will follow Our Complaints Protocol.<\/p><p>14.2 We reserve the right to suspend or remove Your Listing (if You are a Directory member) and terminate Your Membership immediately if:<\/p><p>14.2.1 We receive a substantiated complaint about You or Your services;<\/p><p>14.2.2 You breach the Code of Ethics;<\/p><p>14.2.3 You breach any term of the Agreement;<\/p><p>14.2.4 You act in a way that, in Our reasonable opinion, damages or may damage the reputation of La Lista;<\/p><p>14.2.5 You become insolvent, enter administration, or cease trading;<\/p><p>14.2.6 We determine, following Our vetting or evaluation processes, that you no longer meet our standards.<\/p><p>14.3 We may carry out secret shopper-style evaluations on Directory members at any time, to ensure that high standards are consistently maintained.<\/p><p>14.4 The removal of members from the Directory and the Memberships is at Our sole discretion. If Your Membership is terminated under this Clause 14, no refund of Fees will be due.<\/p><p><strong>15. Reviews and Ratings<\/strong><\/p><p>15.1 Couples and members of the La Lista community may submit reviews, ratings and feedback about Your services in Our community forums and discussion groups. We do not control or pre-approve such content.<\/p><p>15.2 We reserve the right (but have no obligation) to remove or edit reviews that breach Our Community Guidelines, or that We consider (in Our sole discretion) to be defamatory, false, misleading or otherwise inappropriate.<\/p><p>15.3 We are not responsible for the content of reviews submitted by Couples, community members or other users. You acknowledge that reviews reflect the opinions of individual users and are not endorsed by La Lista, and that We have no liability in relation to them.<\/p><p><strong>16. Intellectual Property<\/strong><\/p><p>16.1 You (or Your licensors) retain ownership of Your Brand Assets and all intellectual property rights in them.<\/p><p>16.2 By providing Brand Assets to Us, if You are a Directory member, You grant Us a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, adapt, publish, distribute, and display those Brand Assets for the purposes of providing Your Listing, and operating and promoting the Directory, Our Website, and Our services (including on social media and in Our marketing materials). This licence continues for the duration of Your Directory Membership and for a reasonable period thereafter to allow Us to remove Your materials from Our systems and channels.<\/p><p>16.3 All intellectual property rights in the Directory, Our Website, Our supplier and community databases, Our branding, Our social media posts, Our marketing materials, our community spaces and any other materials We may create (including the La Lista stamp of approval and social assets) remain Our property. Your Membership does not transfer any ownership rights to You.<\/p><p>16.4 If You are a Directory Member, We grant You a limited, non-exclusive, non-transferable licence to use the La Lista stamp of approval and social asset suite and any other materials We may provide to You, solely for the purpose of promoting Your business during Your Membership. This licence terminates automatically when Your Directory Membership ends, and You must immediately cease to use those materials on termination.<\/p><p><strong>17. Disclaimer and No Guarantee of Results<\/strong><\/p><p>17.1 While We believe the Directory provides Our Directory members with valuable exposure to couples planning Italian weddings, We make no guarantees or warranties regarding:<\/p><p>17.1.1 the number of enquiries, leads or bookings You will receive;<\/p><p>17.1.2 any increase in Your revenue, profits or business;<\/p><p>17.1.3 the quality or suitability of any enquiries You receive;<\/p><p>17.1.4 the number of views or visitors to Your Listing;<\/p><p>17.1.5 any particular level of exposure, reach or engagement.<\/p><p>17.2 Any statistics, testimonials or case studies We share (whether on Our Website, in marketing materials, or otherwise) are provided for illustrative purposes only and do not represent a guarantee or representation that You will achieve the same or similar results. Results vary depending on many factors outside Our control, including Your location, service offerings, pricing, responsiveness, potential clients\u2019 requirements and tastes and market conditions.<\/p><p>17.3 It is Your responsibility to satisfy Yourself that the Membership is suitable for Your business needs before applying.<\/p><p><strong>18. Limitation of Liability<\/strong><\/p><p>18.1 We will provide the Services with reasonable skill and care.<\/p><p>18.2 Subject to Clause 18.5, We shall not be liable to You, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for:<\/p><p>18.2.1 any loss of profit, revenue, business, contracts, anticipated savings or goodwill;<\/p><p>18.2.2 any loss of data or information;<\/p><p>18.2.3 any indirect, special or consequential loss or damage; or<\/p><p>18.2.4 any loss arising from Your failure to receive the enquiries, bookings or results You expected.<\/p><p>18.3 Subject to Clause 18.5, Our total liability to You for all claims arising out of or in connection with the Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total Fees paid by You in the Membership year in which the claim arose.<\/p><p>18.4 You agree to indemnify Us and keep Us indemnified against all costs, claims, damages, expenses and liabilities (including legal fees) arising out of or in connection with:<\/p><p>18.4.1 any breach by You of the Agreement or the Code of Ethics;<\/p><p>18.4.2 any claim that Your Brand Assets or Listing infringe the intellectual property rights of any third party;<\/p><p>18.4.3 any claim brought against Us arising from Your services, Your conduct, or any complaint about Your business.<\/p><p>18.5 Nothing in these Terms limits or excludes Our liability for death or personal injury caused by Our negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be excluded or limited by law.<\/p><p>18.6 All information, guidance, resources and materials provided by Us to You as part of Your Membership (including but not limited to industry insights, reports, educational content, and any information shared in Our community spaces, events or communications) is provided for general informational purposes only. Such information does not constitute legal, financial, tax, insurance or other professional advice, and should not be relied upon as such. You are solely responsible for seeking independent professional advice appropriate to Your specific circumstances before making any business decisions. We make no representation or warranty as to the accuracy, completeness or suitability of any such information for Your particular needs, and We shall not be liable for any loss or damage arising from Your reliance on it.<\/p><p><strong>19. La Lista&#8217;s Role<\/strong><\/p><p>19.1 We operate the Collective as a supplier networking community, and the Directory as a platform connecting wedding suppliers with couples and other individuals who may be acting on their behalf. We are not a party to any contract between You and any Couple, and We are not responsible for:<\/p><p>19.1.1 the actions, performance or conduct of any Couple or their guests;<\/p><p>19.1.2 any dispute between You and any Couple or their guests;<\/p><p>19.1.3 any non-payment or breach of contract by any Couple.<\/p><p>19.2 We do not verify or endorse the accuracy of any information provided by Couples, and We make no representations or warranties about any Couple&#8217;s creditworthiness, intentions or suitability.<\/p><p><strong>20. Events Outside Our Control (Force Majeure)<\/strong><\/p><p>20.1 We shall not be liable for any failure or delay in performing Our obligations under the Agreement where that failure or delay arises from a cause that is beyond Our reasonable control (a Force Majeure Event), including (but not limited to): power failure, internet service provider failure, technical failures, industrial action by third parties, civil unrest, fire, flood, epidemic, pandemic, acts of terrorism, acts of war, or governmental action.<\/p><p>20.2 If a Force Majeure Event occurs that is likely to adversely affect Our performance of any of Our obligations under the Agreement:<\/p><p>20.2.1 We will inform You as soon as reasonably possible;<\/p><p>20.2.2 We will take all reasonable steps to minimise the delay;<\/p><p>20.2.3 Our affected obligations will be suspended for the duration of the Force Majeure Event;<\/p><p>20.2.4 If the Force Majeure Event continues for more than 60 days, either party may cancel the Agreement by giving written notice to the other party. If You cancel for this reason, Clause 10.5 (pro-rated refund) will apply.<\/p><p><strong>21. Data Protection<\/strong><\/p><p>21.1 We act as a controller in respect of personal data We collect from You in connection with Your Membership. Such links are provided for Your convenience only and do not imply any endorsement by Us of those websites or their content.<\/p><p>22.2 We have no control over the content of third party websites and accept no responsibility for them or for any loss or damage that may arise from Your use of them.<\/p><p><strong>23. Problems and Complaints<\/strong><\/p><p>23.1 We will provide the Services with reasonable care and skill. If there is a problem with Your Listing or with any aspect of Our Services, please contact Us as soon as reasonably possible at <a href=\"mailto:hello@lalista.com\">hello@lalista.com<\/a>.<\/p><p>23.2 We will use reasonable endeavours to remedy problems as quickly as reasonably possible. We will acknowledge Your complaint within 5 working days and aim to provide a full response within 14 working days.<\/p><p><strong>24. General Provisions<\/strong><\/p><p>24.1 Entire agreement. These Terms (together with the Code of Ethics referred to in them) constitute the entire agreement between You and Us with respect to Your Membership and supersede all prior agreements, representations, warranties and understandings. You acknowledge that You have not relied on any statement, representation or warranty made by Us or on Our behalf that is not expressly set out in these Terms.<\/p><p>24.2 No waiver. No failure or delay by Us in exercising any right under the Agreement shall operate as a waiver of that right. If We do waive any right, We will only do so in writing.<\/p><p>24.3 Assignment. You may not transfer or assign Your rights or obligations under the Agreement without Our prior written consent. We may transfer or assign Our rights and obligations to a third party (for example, if We sell Our business), and will notify You if We do so.<\/p><p>24.4 Third party rights. The Agreement is between You and Us. No other person shall have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Agreement.<\/p><p>24.5 Severance. Continued Membership following such notification constitutes acceptance of the amended Terms. Dispute Resolution<\/strong><\/p><p>25.1 If any Dispute arises, You and We shall follow the procedure set out in this Clause 25.<\/p><p>25.2 Either party may give written notice to the other of the Dispute (a Dispute Notice), together with relevant supporting documents. If You do not agree to these Terms, You must not purchase a place at the Event.<\/p><p>ABOUT US<\/p><p>Events are provided by Wiskow &amp; White Ltd t\/a La Lista, a limited company registered in England &amp; Wales with company number 11321343, (We\/ Us\/ Our).<\/p><p>DEFINITIONS<\/p><p>In these Terms, unless the context otherwise requires:<\/p><p>&#8220;Agreement&#8221; means the agreement between You and Us formed in accordance with Clause 4;<\/p><p>&#8220;Attendee&#8221; means the individual(s) who will attend the Event on Your behalf;<\/p><p>&#8220;Confidential Information&#8221; means all information which is by its nature confidential, or which is (or may be) commercially, personally or professionally sensitive, disclosed by Us or by another attendee at the Event;<\/p><p>&#8220;Event&#8221; means the event for which You have registered;<\/p><p>&#8220;Event Materials&#8221; means any materials We may provide in connection with the Event;<\/p><p>&#8220;Fees&#8221; means the fees (if any) payable by You for attendance at the Event;<\/p><p>\u201cIn-Person Event\u201d means an Event held at a physical venue;<\/p><p>\u201cMember\u201d means a person who holds a current membership subscription with Us entitling them to access certain Events;<\/p><p>\u201cMembership Terms\u201d means the separate terms and conditions governing Your membership, if You are a Member;<\/p><p>\u201cOnline Event\u201d means an Event delivered virtually via an online platform or video conferencing technology;<\/p><p>\u201cOur Website\u201d means the La Lista website operated by Us at <a href=\"http:\/\/lalista.com\/\">lalista.com<\/a>.<\/p><p>\u201cPlatform\u201d means the online platform or video conferencing software through which an Online Event is delivered;<\/p><p>&#8220;You&#8221; means the business, company, partnership, sole trader or other entity purchasing a place at the Event.<\/p><p>THE AGREEMENT BETWEEN YOU AND US<\/p><p>4.1 When You place an order for a place at the Event, Your order constitutes a contractual offer to purchase that place, subject to these Terms, which We may accept. Our acceptance is indicated by sending You an order confirmation by email. Only once We have sent that order confirmation will there be a legal, binding agreement between You and Us (the Agreement).<\/p><p>4.2 Following acceptance of Your order, We will provide access to the Event to You on the terms set out in these Terms, which are incorporated into the Agreement.<\/p><p>4.3 If for any reason We cannot accept Your order, We will refund any Fees paid by You as soon as possible.<\/p><p>4.4 These Terms apply to business attendees only. By placing an order, You confirm that You are purchasing a place at the Event wholly or mainly for the purposes of Your business, trade, craft or profession.<\/p><p>4.5 If You are a Member and are attending the Event as part of Your membership entitlement, these Terms apply in addition to the Membership Terms.\u00a0<\/p><p>THE EVENT<\/p><p>5.1 The Event will take place at the venue (for In-Person Events) or via the Platform (for Online Events) and on the date and time indicated on Our Website at the time You place Your order. For Online Events, We will provide You with access details (including any link and login credentials) in advance of the Event.<\/p><p>5.2 Attendees must comply with any logistical and health and safety guidance or instructions provided by Us or by the Event venue (for In-Person Events). For Online Events, Attendees must comply with any Platform terms of use and with Our reasonable instructions regarding conduct during the Event.<\/p><p>5.3 For In-Person Events, Attendees are responsible for any personal belongings they bring to the Event and must keep them secure at all times. We will not be responsible for any loss or damage to, or theft of, personal property. You will be liable for any loss or damage caused by any Attendee representing You at the Event venue, or to Our property or that of any other attendee.<\/p><p>5.4 We expect You to satisfy Yourself that the Event will meet Your needs. We do not make any guarantee that You will obtain a particular outcome (whether commercial, professional or financial) from the Event.\u00a0<\/p><p>5.5 We may (but are not obliged) to provide Attendees with a list of other attendees at the Event (including business names, attendee names and contact details) for the purpose of facilitating networking before, during and after the Event. By registering for the Event, You consent to Your details being included in any such attendee list and shared with other attendees for this purpose. If You do not wish Your details to be shared in this way, You must notify Us by email at<a href=\"mailto:hello@lalista.com\"> hello@lalista.com<\/a> before the Event.<\/p><p>5.6 For Online Events, You are responsible for ensuring that each Attendee has access to a suitable device, internet connection and any software required to access the Platform. We are not responsible for any inability to access or participate in an Online Event due to technical issues on Your side, including internet connectivity problems, hardware or software failures, or incompatibility with the Platform.<\/p><p>5.7 Access links and login credentials for Online Events are provided for the Attendee\u2019s use only and must not be shared with any third party.\u00a0<\/p><p>OUR OBLIGATIONS<\/p><p>6.1 In providing the Event to You, We shall act at all times with reasonable skill and care.<\/p><p>6.2 The Event will be as generally described when You placed Your order, however We reserve the right to change the precise content and format and speakers at Our discretion, if We believe this will benefit Event participants.<\/p><p>6.3 We will make every reasonable effort to provide the Event as scheduled. In certain circumstances, including (but not limited to) where the Event venue becomes unavailable (for In-Person Events), if We experience technical difficulties including Platform outages or connectivity issues (for Online Events), or other circumstances outside Our control, We may need to postpone the delivery of the Event or change the Event venue or Platform. We shall not be liable for any delay in the provision of the Event, or for any costs incurred by You due to a change of venue or Platform in these circumstances.<\/p><p>6.4 If any Attendee arrives late for the Event, loses connection during an Online Event, or is prevented from attending due to travel delays or technical difficulties or other circumstances, We are not obliged to provide You with a refund or repeat any part of the Event or wait to start the Event until they arrive or reconnect.<\/p><p>6.5 Our obligations to You under the Agreement are limited to providing access to the Event. Any request You may make for additional advice or assistance outside the scope of the Event shall not be included in the Fees.<\/p><ol start=\"7\"><li>Fees and Payment<\/li><\/ol><p>7.1 In consideration for Us providing access to the Event to You, You agree to pay the Fees (if applicable) in accordance with this Clause 7. If You do not pay the Fees in accordance with this Clause 7, You will not be permitted to attend the Event. If You are attending the Event free of charge, as part of a membership entitlement as a member of The Directory, Your membership subscription shall constitute consideration for access to the Event and no additional Fees will be payable.<\/p><p>7.2 The Fees for the Event will be as displayed on Our Website or registration link at the time You place Your order. Fees are payable in advance via the payment gateway link provided.<\/p><p>7.3 We reserve the right to run price promotions for Events as We see fit. This will not affect the Fees payable by You for any Event once You have placed Your order.<\/p><p>7.4 You shall be responsible for all costs You incur in connection with the Attendee\u2019s attendance at the Event, including any travel, accommodation and subsistence costs.<\/p><p>CANCELLATIONS AND REFUNDS<\/p><p>8.1 All bookings are non-refundable. If You cancel Your booking or any Attendee fails to attend the Event for any reason, You will not be entitled to any refund of Fees.<\/p><p>8.2 If You are attending the Event as part of a membership entitlement, cancellation or non-attendance will not entitle You to any extension of Your membership, credit towards future Events, or any other compensation.<\/p><p>CANCELLATION OR POSTPONED BY US<\/p><p>9.1 In rare circumstances, We may need to cancel an Event. If We do so, We will refund the Fees paid by You within 30 days, but will not be liable for any other costs or expenses incurred by You in connection with Your planned attendance.<\/p><p>9.2 If We need to postpone an Event or change the venue, We shall advise You of this as soon as reasonably practicable. If the postponement is for more than 6 months after the original Event date, You may cancel Your booking by notifying Us by email and We shall provide You with a full refund of Fees paid.<\/p><p>9.3 We shall notify You of any cancellation, postponement or change of venue by emailing the email address provided on Your registration. It is Your responsibility to ensure Your contact details are kept up to date. We shall not be liable for any loss You suffer as a result of failing to receive Our notification due to incorrect or outdated contact details.<\/p><p>YOUR OBLIGATIONS<\/p><p>10.1 You shall ensure that any Attendee attending the Event on Your behalf complies with these Terms.<\/p><p>10.2 Attendees must communicate respectfully at all times with Us and with other Event attendees. Conduct which does not comply with this standard, or which might cause harm, nuisance or offence to Us or to any other attendee, will not be tolerated and may result in the Attendee being asked to leave the Event. No refunds will be made in these circumstances.<\/p><p>10.3 Attendees must comply at all times with the health and safety policies of the Event venue, and with all reasonable requests from Us or the venue in relation to health and safety. Failure to do so may result in the Attendee being asked to leave the Event (in which case no refund will be provided).<\/p><p>INTELLECTUAL PROPERTIES<\/p><p>11.1 All content, materials and recordings from Events are Our intellectual property (or that of Our licensors), and are protected by copyright and other intellectual property rights. Attendees may not record, screenshot, screen capture, reproduce, share or distribute any part of the Event or any content displayed or shared during an Online Event without Our advance written consent.<\/p><p>11.2 Any Event Materials We provide are for Your internal business use only. We grant You a limited, revocable, non-exclusive, non-transferable licence to use Event Materials for this purpose only. You may not share, reproduce, distribute, or use Event Materials commercially (including to create derivative materials) without Our advance written permission.<\/p><p>CONFIDENTIALITY<\/p><p>12.1 You must keep confidential, and must procure that each Attendee keeps confidential, any Confidential Information disclosed by Us or by other attendees at the Event. This includes the names of other attendees and any Confidential Information which has been anonymised.<\/p><p>12.2 We will keep any Confidential Information disclosed by You or any Attendee confidential, unless disclosure is required by law or We believe there is a risk of harm to any person.<\/p><p>12.3 This Clause 12 shall survive the termination or expiry of the Agreement.<\/p><p>PHOTOGRAPHY, FILMING &amp; PUBLICITY<\/p><p>13.1 We may photograph or film the Event (or parts of it), including recording Online Events, for Our own internal purposes and for the purpose of promoting Our future events and services. By attending the Event, Attendees consent to Us (or Our representatives) photographing or filming them or capturing their image, voice or contributions during an Online Event, and using such photographs or recordings in accordance with this Clause 13.<\/p><p>13.2 If any Attendee does not wish to be photographed or filmed, they must notify Us before the start of the Event.<\/p><p>13.3 We may use Your business name, trading name and logo in promotional materials relating to the Event, including Our website, social media, and marketing materials for future events. If You do not wish Your business name or logo to be used in this way, You must notify Us by email at <a href=\"mailto:hello@lalista.com\">hello@lalista.com<\/a> before the Event.<\/p><p>13.4 We may from time to time request Your permission to use feedback, testimonials, reviews, photographs or case studies relating to Your attendance at the Event for Our marketing and promotional purposes. Any use of quotes attributed to a named individual will be subject to that individual&#8217;s prior written consent.<\/p><p>LIMITATION OF LIABILITY<\/p><p>14.1 Any content We provide (including any Event Materials) are for information purposes only. The Event and any Event Materials are not (and are not intended to be) a substitute for legal, financial, tax or other professional advice, and it is Your responsibility to seek such independent professional advice where necessary or appropriate.<\/p><p>14.2 Subject to Clause 14.5, We exclude all liability for any loss or damage to the fullest extent permitted by law, including (but not limited to):<\/p><p>14.2.1 any indirect or consequential loss;<\/p><p>14.2.2 any loss of profit, revenue, business, contracts, anticipated savings or goodwill;<\/p><p>14.2.3 any loss of data or information; and<\/p><p>14.2.4 any special damages,<\/p><p>howsoever arising, whether in contract, tort (including negligence), breach of statutory duty or otherwise.<\/p><p>14.3 Subject to Clause 14.5, Our total liability to You in respect of any and all claims arising out of or in connection with the Agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total Fees paid by You under the Agreement.<\/p><p>14.4 You agree to indemnify Us and keep Us indemnified against all costs, claims, damages, expenses and liabilities (including legal fees) arising out of or in connection with:<\/p><p>14.4.1 any breach by You of these Terms;<\/p><p>14.4.2 any damage caused by any Attendee to the Event venue or to Our property or the property of any other attendee; and<\/p><p>14.4.3 any claim brought against Us by a third party arising from the acts or omissions of any Attendee.<\/p><p>14.5 Nothing in these Terms limits or excludes Our liability for death or personal injury caused by Our negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be excluded or limited by law.<\/p><p>14.6 This Clause 14 shall survive the termination or expiry of the Agreement.<\/p><p>DATA PROTECTION<\/p><p>15.1 We will process personal data provided by You in connection with the Event in accordance with applicable data protection legislation and Our Privacy Notice, which is available on Our Website.<\/p><p>15.2 You are responsible for ensuring that any Attendee whose personal data You provide to Us has been informed of, and consents to, Our use of their personal data in accordance with Our Privacy Notice.<\/p><p>15.3 We may contact You using the contact details provided on Your registration for purposes relating to the Event. If You have opted in to receive marketing communications from Us, We may also contact You from time to time to share details of Our services which may be of interest to You. You may unsubscribe or withdraw Your consent at any time using the unsubscribe links in Our emails or by contacting Us at <a href=\"mailto:hello@lalista.com\">hello@lalista.com<\/a>.<\/p><p>EVENTS OUTSIDE OUR CONTROL<\/p><p>We shall not be liable for any failure or delay in performing Our obligations under the Agreement where that failure or delay arises from a cause or event that is beyond Our reasonable control. Such causes or events may include, but are not limited to: power failure, internet service provider failure, Platform outages, cyberattacks, service interruptions, industrial action by third parties, civil unrest, fire, explosion, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action, epidemic, pandemic, venue unavailability, organiser illness or unavailability, or any other event that is beyond Our reasonable control.<\/p><p>GENERAL PROVISIONS<\/p><p>17.1 No failure or delay by Us in exercising Our rights under the Agreement shall operate as a waiver of that right.<\/p><p>17.2 You may not transfer (assign) Your rights under the Agreement to a third party without Our prior written consent. Your place at the Event is not transferable.<\/p><p>17.3 We may transfer (assign) Our rights and obligations under the Agreement to a third party. If this occurs, You will be informed by Us in writing.<\/p><p>17.4 If any provision of the Agreement is found to be unlawful, invalid or unenforceable, that provision shall be deemed severed from the Agreement. The remainder of the Agreement will be valid and enforceable.<\/p><p>17.5 The Agreement constitutes the entire agreement between You and Us relating to the Event. You and We have not relied on any representations, warranties or other provisions other than those expressly provided for in the Agreement, and shall have no remedy in respect of them.<\/p><p>17.6 The Agreement is between You and Us. No part of the Agreement is intended to benefit or confer rights on any other person, and accordingly the Contracts (Rights of Third Parties) Act 1999 shall not apply to the Agreement.<\/p><ol start=\"18\"><li>Feedback and Complaints<\/li><\/ol><p>We always welcome feedback from Event attendees. If You have any feedback or complaints, please contact Us as soon as possible by email at <a href=\"mailto:hello@lalista.com\">hello@lalista.com<\/a>. We will make the Product available for download immediately after we have accepted your order and received payment. You will receive an email with a link to download the Product. If the fault cannot be fixed, or has not been fixed within a reasonable time and without significant inconvenience to you, you can get some or all of your money back. If you can show the fault has damaged your device and we have not used reasonable care and skill, you may be entitled to a repair or compensation.<\/span><\/p><p><span style=\"color: #ffffff;\">8.3 Your obligation to return Products. You may not, at any time, copy, record, reproduce, modify, rent, sell, publish, republish, sub-licence, post, broadcast, distribute, share or otherwise transmit the Product (or any part of it) or make that Product (or any part of it) available to any other person, or create any derivative works from it.\u00a0 You may only share the Product with your partner or co-planner of the same wedding for which you purchased the Product.<\/span><\/p><h1><span style=\"color: #ffffff;\">13. LIMITATION OF LIABILITY<\/span><\/h1><p><span style=\"color: #ffffff;\">13.1 Our responsibility for foreseeable loss and damage. Subject to the remainder of this clause 13, we will be responsible for any foreseeable loss and damage that you may suffer as a result of our breach of the Agreement or as a result of our negligence. Loss or damage is foreseeable if it is an obvious consequence of our breach or negligence or if it is contemplated by you and us when the Agreement is entered into. We will not be responsible for any loss or damage that is not foreseeable.<\/span><\/p><p><span style=\"color: #ffffff;\">13.2 No warranties or guarantees. We make reasonable efforts to ensure that our Products are accurate and up-to-date at the time they are provided to you. Accordingly, we shall not be liable for any loss of profit, loss of business, interruption to business, loss of business opportunity, loss of goodwill or reputation, or any indirect, special or consequential loss or damages.<\/span><\/p><p><span style=\"color: #ffffff;\">13.6 Damage to your device or digital content. If defective digital content which we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage which you could have avoided by following our advice or instructions for use.<\/span><\/p><p><span style=\"color: #ffffff;\">13.7 Losses you could have avoided. We are not responsible for any loss or damage that you could have avoided or reduced by taking reasonable action.<\/span><\/p><p><span style=\"color: #ffffff;\">13.8 Cap on liability. Our total liability to you in respect of any claims arising out of or in connection with the Agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total price paid by you for the Product(s) giving rise to the claim.<\/span><\/p><p><span style=\"color: #ffffff;\">13.9 What we do not exclude. Nothing in the Agreement seeks to exclude or limit our liability for death or personal injury caused by our negligence; for fraud or fraudulent misrepresentation; for breach of your legal rights as a consumer in relation to the Products as summarised in clause 8.2; or for any other liability which cannot be excluded or limited by English law.<\/span><\/p><p><span style=\"color: #ffffff;\">13.10 Survival. The provisions of this clause 13 shall survive the termination or expiry of the Agreement.<\/span><\/p><h1><span style=\"color: #ffffff;\">14. EVENTS OUTSIDE OUR CONTROL<\/span><\/h1><p><span style=\"color: #ffffff;\">We shall not be liable for any failure or delay in performing our obligations under the Agreement where that failure or delay arises from a cause or event that is beyond our control. Such causes or events may include, but are not limited to: power failure, internet service provider failure, service interruptions, industrial action by third parties, civil unrest, fire, explosion, flood, storms, earthquakes, subsidence, acts of terrorism, acts of war, governmental action, epidemic, pandemic or other natural disaster or any other event that is beyond our reasonable control.<\/span><\/p><h1><span style=\"color: #ffffff;\">15. HOW WE MAY USE YOUR PERSONAL INFORMATION<\/span><\/h1><p><span style=\"color: #ffffff;\">We will only use your personal information as set out in our Privacy Notice which appears on our Platform.<\/span><\/p><h1><span style=\"color: #ffffff;\">16. FEEDBACK AND COMPLAINTS<\/span><\/h1><p><span style=\"color: #ffffff;\">Our complaints policy. If you have any complaints about our Products, please contact us at <a style=\"color: #ffffff;\" href=\"mailto:hello@lalista.com\">hello@lalista.com<\/a> and we will do our best to work constructively with you to resolve any problems you have with us or our Products.<\/span><\/p><h1><span style=\"color: #ffffff;\">17. OTHER IMPORTANT TERMS<\/span><\/h1><p><span style=\"color: #ffffff;\">17.1 We may transfer the Agreement to someone else. We may transfer our rights and obligations under the Agreement to another organisation, for example if we sell our business. This will not affect your rights under the Agreement.<\/span><\/p><p><span style=\"color: #ffffff;\">17.2 You may not transfer the Agreement. You may not transfer your rights or obligations under the Agreement to any other person.<\/span><\/p><p><span style=\"color: #ffffff;\">17.3 Nobody else has any rights under the Agreement between us. The Agreement is between you and us. No other person shall have any rights to enforce any of its terms.<\/span><\/p><p><span style=\"color: #ffffff;\">17.4 If a court finds part of the Agreement to be void or unenforceable, the rest will continue in force. Each of the clauses contained in the Agreement operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining clauses will remain in full force and effect.<\/span><\/p><p><span style=\"color: #ffffff;\">17.5 Even if we delay in enforcing the Agreement, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under the Agreement, or if we delay in taking steps against you in respect of your breach of the Agreement, that will not prevent us taking steps against you at a later date.<\/span><\/p><p><span style=\"color: #ffffff;\">17.6 Governing law and jurisdiction. The Agreement between us is governed by English law. As a consumer, any dispute arising out of or in connection with the Agreement shall be subject to the exclusive jurisdiction of the courts of England &amp; Wales, Scotland or Northern Ireland as determined by your residency.<\/span><\/p><p><span style=\"color: #ffffff;\">17.7 Entire agreement. The Agreement constitutes the entire agreement between you and us with respect to your purchase of the Product.
